1 The name of the society will be "The Regency Square Area Society" hereinafter referred to as "the Society".
2 The objects of the Society will be:
2.1 to pursue matters of common interest to those living and working in the Regency Square area;
2.2 to preserve and improve the character and environment of the Regency Square area;
2.3 to encourage the development of good neighbourliness amongst those living and working in the Regency Square area;
2.4 to enable those living and working in the Regency square area to contribute as a local community to the life of the wider community of Brighton as a whole.
3 By the Regency Square area is understood the area of Brighton bounded on the south by Kings Road, on the east by Cannon Place, on the north by Western Road and on the west by Little Preston Street.
4 The Society will have members in four classes:
4.1 subject to the provisions in paragraph 8 below, any person over the age of 18 who is permanently resident in the Regency Square area will be entitled to join the Society as an ordinary member;
4.2 subject to the provisions in paragraph 8 below, any person between the ages of 8 and 18 inclusive who is permanently resident in the Regency Square area will be entitled to join the Society as a junior member;
4.3 subject to the provisions in paragraph 8 below, any business operating from premises in the Regency Square area will be entitled to join the Society as a business member;
4.4 subject to the provisions in paragraph 8 below and subject to the approval of the Executive Committee, any person aged 8 or above who is not entitled to membership under paragraphs 4.1 or 4.2 will be entitled to join the Society as an associate member.
5 The Society will hold and annual general meeting and such other special general meetings as a called in accordance with paragraph 7.2 below; all members will be entitled to attend general meetings of the Society, subject to the chairman's discretion to require any member to leave who threatens to disrupt the conduct of the Society's business; only ordinary members and business members will be entitled to vote at general meetings or to participate in elections.
6 At each annual general meeting the Society will elect a Chairman, a Secretary a Treasurer and an Executive Committee; all officers and members of the Executive Committee will eligible for re-election each year.
7 The duties of the officers and Executive Committee will be:
7.1 to manage the affairs of the Society with a view to achieving its objects;
7.2 to call an annual general meeting once in every 12 months and to call a special general meeting as and when they think fit or as and when requested to do so by a group of ordinary and business members numbering not less than 2 and constituting at least 5% of the whole of the ordinary and business membership combined; the quorum for general meetings of the Society will be 2 ordinary or business members or 25% of the ordinary and business membership combined, whichever is greater;
7.3 to present to members at each annual general meeting a report of the Society's activities during the preceding 12 months and a statement of accounts made up to a date not more than 28 days prior to the date of the annual general meeting.
8 All members of the Society will pay an annual subscription to the Society, the amount of which will be fixed at the annual general meeting; the Executive Committee will have power to exclude from membership any member who fails to pay his annual subscription or whom the Executive Committee believes it would be expedient to exclude in the interests of the Society.
9 Amendments will be made to this constitution if so resolved at an annual general meeting or at a special general meeting called for that purpose provided that notice of such amendments is circulated to members at least 7 days before the date of the meeting and provided that there will be no amendments to paragraphs 9 or 10.
10 Any surplus of income over expenditure resulting from the Society's activities will be devoted to the objects of the Society and will not be distributed amongst the members; in the event of the Society being wound up any surplus held by the Society at that time will be donated to a registered charity or to Brighton Borough Council as determined by the Executive Committee and will not be distributed amongst the members of the Society.
